Vendor & Partner Agreement

This Vendor & Partner Agreement ("Agreement") outlines the terms and conditions for Boat Owners, Captains, Fleet Managers, and Affiliate Agents (collectively referred to as "Partners", "Vendors", or "you") who use the Seekaboat platform to list maritime inventory or refer clients.
1. Account Types and Roles
- Boat Owners / Fleet Managers: Independent entities who list their vessels on the Seekaboat platform for charter by tourists ("Guests").
- Affiliate Agents ("Beach Boys" / Hotel Concierges): Authorized individuals or businesses who utilize the Seekaboat B2B portal to refer Guests and facilitate bookings in exchange for a markup or commission.
- Platform Role: Seekaboat acts solely as a technological marketplace and booking facilitator. We do not own, operate, or maintain the vessels listed on our platform.
2. Financial Terms and Commission Structure
- Platform Commission: Seekaboat charges a standard commission fee of 12% on the total booking value for every successful transaction processed through the platform. This commission is automatically deducted before the Partner's payout.
- Online Payment Processing: If a Guest pays the full amount online via our secure payment gateway (Paymob), an additional ~3% processing fee is applied. This fee is borne by the Guest, ensuring the Partner receives their agreed net rate.
- Payout Schedule: Payouts to Boat Owners for completed trips are processed according to the platform's standard billing cycle (e.g., weekly or bi-weekly), subject to successful port departure and no outstanding Guest disputes.
3. Inventory Accuracy and "Overbooking"
Calendar Management: Partners are strictly required to keep their boat availability calendars up to date in real-time.
No Unjustified Cancellations: If a Partner cancels a confirmed booking without a valid force majeure reason (e.g., to accept a higher-paying direct client), Seekaboat reserves the right to:
- Impose a financial penalty equal to the lost platform commission.
- Lower the boat's ranking in platform search results.
- Permanently suspend the Partner's account for repeated offenses.
4. Passenger Manifests ("Ornik") and Compliance
Seekaboat provides a digital system to collect Guest passport data in advance.
It is the sole responsibility of the Boat Owner or Captain to generate the final physical or digital "Ornik" document and submit it to the Egyptian Coast Guard and Tourist Police prior to departure.
Seekaboat is not liable for delays or cancellations caused by the Partner's failure to secure proper port clearance.
5. Quality Standards and Zero-Tolerance Policy
To maintain our "International Standards" promise, all Partners must adhere to the following:
- No Hidden Fees: Partners are strictly prohibited from demanding additional mandatory payments from Guests at the marina (e.g., surprise fuel surcharges, fake port taxes, or mandatory tips) that were not explicitly stated on the boat's listing page at the time of booking.
- Bait and Switch: The vessel provided to the Guest must be the exact vessel (or an agreed-upon superior upgrade) shown in the platform listing. Substituting a lower-quality boat is a direct violation of this Agreement.
- Violations: Breach of these quality standards will result in immediate investigation, withholding of funds for that specific trip to refund the Guest, and potential account termination.
6. Contact and Dispute Resolution
